Please read these Terms of Service ("Terms", "Agreement") carefully before using the SubSave digital marketplace website (the "Services") operated by SubSave Marketplace Inc. ("us", "we", "our", or "SubSave").

By registering an account, purchasing digital subscriptions, or browsing our marketplace, you agree to comply with and be bound by these Terms, which include our Privacy Policy. If you do not agree, you must immediately cease accessing our Services.

1. User Accounts and Eligibility

You must be at least 18 years of age to register an account or initiate transactions on SubSave. By registering, you warrant that all registration information you submit is accurate, truthful, and up-to-date. You are solely responsible for maintaining the confidentiality of your credentials and account access. Any activities executed under your account will be deemed your direct responsibility.

2. Nature of Digital Services

SubSave acts as a digital broker providing access keys, activation tokens, slot invite credentials, and family plan allocations for various online platforms (e.g., Streaming, AI tools, Gaming, VPNs). All product descriptions, pricing, and availability represent an invitation to treat and do not constitute a binding offer. SubSave reserves the right to modify or discontinue any digital products or services at any time without prior notice.

3. Account Delivery and Billing

• Instant Delivery: Upon verification of your payment authorization by our payment gateway, your subscription invite slots or system keys will be instantly provisioned to your User Dashboard and emailed to you.
• Pricing Policy: All listed prices are displayed in USD. SubSave reserves the right to adjust prices to reflect publisher guidelines or market fluctuations.
• No Auto-Renewal: SubSave does not store pre-authorized billing tokens for recurring subscription charges. When your purchased period (1, 6, or 12 months) expires, you must manually initiate a new transaction to renew access.

4. Prohibited Uses

You agree not to use the Services or purchased subscriptions for any unlawful purpose. Under no circumstances may you:

• Resell, sublicense, distribute, or commercially exploit credentials or invitation links bought on our marketplace.
• Modify, alter, or attempt to change passwords or email settings associated with shared slot accounts.
• Circumvent region lock policies via unauthorized masking tools.
• Attempt to gain unauthorized access to our network infrastructure, server hosting, or user accounts.

Breach of this section will result in immediate termination of all active subscriptions without eligibility for refunds.

5. SubSave Guarantee and Refund Policy

We guarantee active subscription status for the duration of the purchased term. In the event that a service key or invite slot is deactivated by the respective publisher due to system changes:

• SubSave will attempt to supply a replacement slot or activation key within 48 hours.
• If a replacement is unavailable, we will issue a prorated refund to your original payment method for the unused portion of the subscription period.
• Refunds are not granted for changes in user preference, device incompatibility, or provider feature modifications.

6. Limitation of Liability and Disclaimer of Warranties

SubSave provides the Services "as is" and "as available". We do not represent or warrant that the services of third-party digital providers will operate uninterrupted or error-free indefinitely. Under no circumstances shall SubSave Marketplace Inc. be liable for any direct, indirect, incidental, special, or consequential damages resulting from provider-side account closures, feature deprecation, or internet routing problems beyond our administrative control.

7. Dispute Resolution and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall take place in San Francisco, California, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

YOU AND SUBSAVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

8. Governing Law

These Terms shall be governed by, interpreted, and enforced in accordance with the laws of the State of California, without regard to its conflict of law rules.
